1. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

2. Our Services

NEXUS AI provides growth strategy, sales infrastructure, marketing automation, and related consulting services. The specific scope of services will be defined in a separate Statement of Work or Service Agreement between you and NEXUS AI.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. User Accounts

Some features of our services may require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Payment Terms

Payment terms for our services are specified in your Service Agreement. Unless otherwise stated:

• All fees are quoted in US dollars and are non-refundable
• Payment is due within 30 days of invoice date
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts
• You are responsible for all applicable taxes

5. Intellectual Property

All content, features, and functionality of our website and services—including but not limited to text, graphics, logos, icons, software, and methodologies—are the exclusive property of NEXUS AI or our licensors and are protected by intellectual property laws.

Work product specifically created for you under a Service Agreement will be owned as specified in that agreement. Unless otherwise agreed, we retain ownership of our pre-existing materials, tools, and methodologies.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives termination of our relationship.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of confidential information; or (d) is rightfully obtained from a third party.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amounts paid by you to NEXUS AI in the twelve (12) months preceding the claim.

8. Termination

Either party may terminate our engagement as specified in the applicable Service Agreement. We may also terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including confidentiality, intellectual property, limitation of liability, and governing law provisions.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in New York County, New York.
